An American franchise company, headquarter in the U.S.A., wanting to expand its operations into the EU.
A well-known franchise brand with prosperous operations in the US, decided to take the leap over the ocean to Europe. As the first port of entry Sweden was chosen. However, the market in Sweden was too small so the territory of interest was decided to be the Nordic countries of Sweden, Norway, Finland and Denmark.
We guided the franchisor for the full business process starting franchising in other countries. We adapted the Master Franchise Agreement and the local Franchise Agreements to the laws of EU and the specific countries. We also advised and handled the other legal issues including trademark search and registration, disclosure, contractual and conceptual topics, negotiations and dispute resolution.
We worked as the client’s outsourced legal department and also point of contact in coordinating the team of local franchise lawyers from the other Nordic countries. This project involved a number of the members of EFL.
